Terms of Services

THIS AGREEMENT GOVERNS YOUR UTILIZATION OF THE SKILLBLOOM EDUCATIONAL PLATFORM AND LEARNING SERVICES, AND IT IS BETWEEN YOU OR THE ENTITY YOU REPRESENT (hereinafter referred to as “You” or “Your”) AND SkillBloom Recruitment Academy Pvt Ltd (hereinafter referred to as “SkillBloom”).

Sections Of This Agreement

This Agreement comprises the subsequent general terms and conditions (hereinafter denoted as the “General Terms”) along with any particular terms and conditions relevant to the usage of specific services (hereinafter referred to as the “Service Specific Terms”). Collectively, the General Terms and Service Specific Terms are collectively referred to as the “Terms.” Should a conflict arise between the General Terms and the Service Specific Terms, the latter shall take precedence.

Acceptance and Acknowledgment of the Terms

To accept the Terms, You are required to be of legal age, capable of entering into a legally binding agreement. If You do not consent to the General Terms, please refrain from using any of our Services. In case You agree to the General Terms but disagree with any Service Specific Terms, kindly refrain from using the relevant Service. You can confirm Your acceptance of these Terms by either checking a designated checkbox or clicking a button that signifies Your consent to the terms, or by actively utilizing our Services.

Description of Services

We offer an expansive educational platform designed to empower teachers in delivering effective instruction and engage students in collaborative and immersive learning experiences. Our services encompass the sharing of intellectual content, as well as the distribution of other online or offline materials while ensuring compliance with copyright laws and safeguarding intellectual property rights. In cases of copyright infringement, illegal replication of resources, or any other unlawful activities, SkillBloom will not bear responsibility, and appropriate actions will be initiated against the involved party. You are authorized to utilize the Services for personal and business purposes, or for internal business functions within the organization You represent. Access to the Services can be achieved through any web browser that is compatible with our platform. It is Your responsibility to secure internet access and procure the necessary equipment to make use of our Services. You have the capability to generate and modify content through Your user account, and should You choose to do so, You can also publish and share such content.

Subscription to Beta Services

We may introduce certain Services as either closed or open beta services, referred to as “Beta Service” or “Beta Services,” for the purpose of testing and evaluation. You acknowledge that we hold the exclusive authority and discretion to determine the duration of testing and evaluation for Beta Services. We reserve the right to be the sole arbiter of the success of such testing and the potential decision to offer Beta Services as commercial services. Subscribing to a Beta Service does not obligate You to acquire a subscription for any paid Service. We retain the right to wholly or partially discontinue, at our discretion, either temporarily or permanently, any of the Beta Services, with or without prior notice. You agree that SkillBloom bears no liability to You or any third party for any damage related to, arising from, or resulting from alterations, suspensions, or discontinuations of Beta Services, regardless of the reason.

Modification Of Terms Of Service

We reserve the right to modify the Terms, and we will notify You through a service announcement or by sending an email to Your primary email address. If we make significant changes that impact Your rights, You will receive a minimum of 30 days’ advance notice via email. If these changes substantially affect Your rights concerning the use of our Services, You can terminate Your usage by notifying SkillBloom via email within 30 days of being informed of the updated Terms’ availability. In such cases, You’ll be eligible for a prorated refund of any unused prepaid fees. Continued use of the Service after the effective date of changes will be considered Your acceptance of the modified Terms.

User Sign Up Obligations

To access and utilize the Services, You are required to register for a user account and provide all necessary information. We strongly recommend using a valid and authentic email address. By signing up, You agree to:  a) Furnish true, accurate, up-to-date, and comprehensive information about yourself as prompted during the registration process. b) Keep the information provided during registration true, accurate, up-to-date, and complete by promptly updating it when necessary. In the event that You provide information that is untrue, inaccurate, outdated, or incomplete, or if SkillBloom reasonably suspects such inaccuracies, SkillBloom reserves the right to terminate Your user account and deny present or future access to any or all of the Services.

Organization Accounts and Administrators

For organization accounts, You have the option to designate one or more administrators. These administrators will possess the authority to configure the Services according to Your needs and oversee end-users within Your organization’s account. If a third party creates and configures Your organization account on Your behalf, that third party may assume the role of an administrator. It’s crucial to establish a suitable agreement with such a third party, outlining their roles and limitations as an administrator of Your organization account. Your responsibilities include:  i) Safeguarding the confidentiality of Your organization account password.  ii) Appointing qualified individuals as administrators to manage Your organization account.  iii) Ensuring that all activities related to Your organization account adhere to this Agreement. Please note that SkillBloom is not responsible for account administration or the internal management of the Services on Your behalf. You are accountable for taking the necessary measures to prevent Your organization from losing control of administrator accounts. You can specify a recovery process for regaining control in case of such a loss by emailing info@skill-bloom.com, provided the process is acceptable to SkillBloom. In the absence of a designated administrator account recovery process, SkillBloom may grant control of an administrator account to an individual who can satisfactorily demonstrate authorization to act on behalf of the organization. You agree not to hold SkillBloom liable for any actions taken in good faith by SkillBloom in this regard.

Personal Information And Privacy

The personal information You furnish to SkillBloom via the Service is subject to the SkillBloom Privacy Policy. Your decision to utilize the Service signifies Your agreement with the provisions outlined in the SkillBloom Privacy Policy. It is Your responsibility to safeguard the confidentiality of Your username, password, and other sensitive details. You are also accountable for all activities conducted within Your user account and commit to promptly notifying us of any unauthorized usage of Your user account via email to info@skill-bloom.com. SkillBloom bears no responsibility for any losses or damages incurred by You or any third party due to unauthorized access or use of Your user account, or any related circumstances.

Communications from SkillBloom

The Service may incorporate specific communications from SkillBloom, including service announcements, administrative messages, and newsletters. These communications are an integral part of using the Services. In line with our commitment to Your privacy, we offer the option to opt out of receiving newsletters from us. However, please note that opting out of receiving newsletters does not apply to service announcements and administrative messages, which are considered essential and cannot be opted out of.

Complaints and Response

In the event of a complaint received from any individual regarding Your actions in connection with Your use of the Services, we will forward the complaint to the primary email address associated with Your user account. You are required to address the complaint directly within 10 days of receiving the complaint email from us and include SkillBloom in the communication. Failure to respond to the complainant within the specified 10-day timeframe from the date of our email may lead to the disclosure of Your name and contact information to the complainant, enabling them to take legal action against You. It’s important to understand that Your lack of response within the 10-day limit will be considered as Your consent to SkillBloom disclosing Your name and contact information to the complainant.

Fees and Payments

Our Services are accessible through subscription plans of varying durations. Payment for subscription plans lasting less than a year can be completed on the SkillBloom website. Periodically, we may modify the pricing of any Service or introduce charges for Services that are presently free of charge. Any fee adjustments will take effect only after Your existing billing cycle concludes. You will only be billed if You have chosen a paid subscription plan; no charges apply to the usage of free Services.

Restrictions On Use

Beyond the other stipulations of this Agreement, You are prohibited from: (i) Transferring the Services to, or making them available for, any third party.  (ii) Offering services based on the Services without prior written permission. (iii) Employing third-party links to websites without accepting their respective website terms and conditions.  (iv) Sharing links to third-party websites or using their logo, company name, etc., without prior written authorization. (v) Disclosing personal or confidential information pertaining to any individual or entity without their consent. (vi) Employing the Services in a manner that could potentially harm, disable, overload, impair, or affect any server, network, computer system, or SkillBloom’s resources. (vii) Violating any pertinent local, state, national, or international laws. (viii) Creating a false identity to deceive anyone about the source or origin of any communication.

Prohibition of Spam and Unlawful Activities

You accept full responsibility for the content of Your transmissions via the Services. You agree not to employ the Services for unlawful purposes or for transmitting material that is illegal, defamatory, harassing, libelous, invasive of privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, or otherwise objectionable, including content that offends religious sentiments, promotes racism, contains viruses or malicious code, or infringes upon intellectual property or other rights of others. The use of the Services for the transmission of “junk mail,” “spam,” “chain letters,” “phishing,” or the unsolicited mass distribution of email is also prohibited. SkillBloom retains the right to terminate Your access to the Services if there are reasonable grounds to suspect that You have utilized the Services for any illegal or unauthorized activities.

Policy on Inactive User Accounts

We maintain the right to discontinue unpaid user accounts that remain inactive for an uninterrupted period of 90 days. Upon such termination, all data associated with the user account in question will be removed. We will provide advance notice of this termination and offer You the option to back up Your data. The data deletion policy may be applicable to any or all of the Services. Each Service is considered independently, and the period of inactivity is calculated separately for each. To clarify, activity within one Service does not extend to the maintenance of Your user account in another Service. In cases where an account has multiple users, as long as at least one user remains active, the account will not be classified as inactive.

Data Ownership

We uphold Your ownership rights over content that You create or store. You possess ownership of the content You create or store, provided it is not illegal. Unless explicitly authorized by You, Your use of the Services does not grant SkillBloom a license to utilize, reproduce, adapt, modify, publish, or distribute the content You create or store in Your user account for SkillBloom’s commercial, marketing, or similar purposes. However, You do grant SkillBloom permission to access, copy, distribute, store, transmit, reformat, publicly display, and publicly perform the content in Your user account, solely for the purpose of delivering the Services to You.

User-Generated Content

You have the ability to transmit or publish content You’ve created through the Services or by other means. However, You bear sole responsibility for such content and the repercussions of its transmission or publication. Publicly accessible content can be crawled and indexed by search engines, so it’s essential to ensure that You do not inadvertently make private content publicly available. Any content You receive from other users of the Services is provided “AS IS” for Your information and personal use only. You agree not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit such content for any purpose without the explicit written consent of the content’s rights holder. If You encounter content with copyright notices or copy protection features while using the Services, You agree not to remove such notices or disable the copy protection features. By making any copyrighted or copyrightable content available on the Services, You confirm that You have obtained consent, authorization, or permission from every person who may claim rights in such content for its presentation. Additionally, by making content available in the manner described, You expressly agree that SkillBloom has the right to block access to or remove such content if SkillBloom receives complaints regarding illegality or infringement of third-party rights. By utilizing the Services, transmitting or publishing content, You provide express consent for SkillBloom’s designated agent to address questions of legality or infringement of third-party rights in such content. Sample Files And Applications

SkillBloom may furnish sample files and applications to illustrate the potential uses of the Services for specific purposes. The content within these sample files and applications comprises random data. SkillBloom provides no warranty, whether expressed or implied, regarding the accuracy, utility, completeness, or reliability of the information or the sample files and applications.

Disclaimer Of Warranties

YOU CLEARLY COMPREHEND AND CONCUR THAT UTILIZING THE SERVICES RESTS ENTIRELY UPON YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. SKILLBLOOM DISTINCTLY RENOUNCES ALL FORMS OF WARRANTIES, WHETHER THEY ARE EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A SPECIFIC PURPOSE. SKILLBLOOM ASSURES NO GUARANTEE THAT THE SERVICES WILL FUNCTION WITHOUT INTERRUPTION, TIMELY INTERRUPTIONS, BE SECURE, OR FREE OF ERRORS. ANY MATERIAL DOWNLOADED OR ACQUIRED THROUGH THE UTILIZATION OF THE SERVICES SHALL OCCUR AT YOUR OWN DISCRETION AND RISK, AND YOU SHALL BE SOLELY RESPONSIBLE FOR ANY IMPAIRMENT TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE, OR DATA THAT STEMS FROM THE USE OF THE SERVICES OR THE DOWNLOADING OF SUCH MATERIAL. NO COUNSEL OR INFORMATION, WHETHER THEY ARE WRITTEN OR ORAL, THAT YOU RECEIVE FROM SKILLBLOOM, ITS STAFF, OR REPRESENTATIVES SHALL GENERATE ANY WARRANTY NOT EXPLICITLY STATED IN THESE TERMS.

Limitation Of Liability

YOU ACKNOWLEDGE THAT SKILLBLOOM SHALL, UNDER NO CIRCUMSTANCES, BE RESPONSIBLE FOR ANY RESULTING, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER FORMS OF LOSS OR DAMAGE WHATSOEVER, INCLUDING BUT NOT LIMITED TO, THE LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER MALFUNCTION, LOSS OF BUSINESS DATA, OR ANY OTHER FORM OF LOSS ARISING FROM OR CAUSED BY YOUR USE OF, OR INCAPACITY TO USE, THE SERVICE, EVEN IF SkillBloom HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL SKILLBLOOM’S TOTAL LIABILITY TO YOU REGARDING ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU FOR THAT PARTICULAR SERVICE.

Indemnification

You consent to indemnify and safeguard SkillBloom, along with its officers, directors, employees, suppliers, and affiliates, against any losses, damages, fines, and expenses (including attorney’s fees and costs) stemming from or associated with claims that You have employed the Services in contravention of the rights of another party, in violation of any law, breaching any provisions of the Terms, or any other claims linked to Your use of the Services, unless such use is sanctioned by SkillBloom.

Suspension And Termination

We retain the authority to suspend Your user account or temporarily disable access to all or part of any Service when there are indications of potential illegal activity, prolonged inactivity, or requests from law enforcement or other government agencies. If You wish to dispute the suspension, please address Your objections to info@skill-bloom.com within thirty days of receiving notification of the suspension. After thirty days, we may terminate a suspended or disabled user account. You also have the option to request the termination of Your user account. Furthermore, we maintain the right to terminate Your user account and reject the Services if there is reasonable belief that You have breached the Terms. We also reserve the right to terminate Your access to any Beta Service due to unforeseen technical issues or the discontinuation of the Beta Service. You are entitled to terminate Your user account if SkillBloom violates its obligations under these Terms. In such a scenario, You will receive a prorated refund of any prepaid fees. Termination of Your user account includes the denial of access to all Services, as well as the deletion of information within Your user account, such as Your email address and password, along with the removal of all data associated with Your user account.

Terms Of Bandwidth Usage

The “unlimited bandwidth” specified in our pricing plans corresponds to an exceptionally high bandwidth limit that only 1% of SkillBloom accounts typically approach. Should Your needs extend beyond our high limit, we’ll kindly notify You via email to inform You that You’re approaching the limit and may incur additional charges for extra bandwidth. You can always review Your bandwidth usage and associated pricing in Your reports. If You are already aware that Your bandwidth requirements might significantly exceed those of the average SkillBloom account, please reach out to our team. We’d be delighted to create a tailored plan to meet Your specific needs.

END OF TERMS OF SERVICE

We encourage users to utilize our service responsibly for their benefit and the benefit of all by avoiding misuse of services.
